Thanks for joining our Affiliate Program.

These following terms and conditions apply to individuals who are accessing or using the Program both as a merchant ("we" or "merchant") and an affiliate ("you" or "affiliate") who refers customers to use product or service from the merchant.

By participating in the Program, Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorized to register as an Affiliate or participate in the Program in any manner.

1. Approval or Rejection of the Registration

We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.

2. Affiliate Link and Coupon

Affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else's referral link and then later they click on yours, yours is the one that counts.

Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If a customer clicks on the affiliate link AND uses a coupon code, you will not receive a double commission. If you're not assigned a branded coupon, then you're not allowed to promote the coupon.

Affiliate may also advertise merchant website on online channels such as Facebook, Instagram, YouTube, Website or offline classified channel ads, magazines and newspapers.

3. Commissions and Payment

Refer any customer to make a purchase on our website and you will get a commission amount which is calculated based on the Commission structure. Commission amount is dependent on order value and excludes any extra fees e.g. tax, shipping cost, customs duties.

For an Affiliate to receive the commission, you need to specify the payment details in Settings. The payment schedule will be notified in the Affiliate Guide page.

Payments will only be sent for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives the merchant the right to review each and every referral order. Status of commission is displayed in the Commission tab, any paid commission will be listed in the Payments tab. Transactions that result in charge backs or refunds will not be paid out.

The current applicable commission rate may be viewed in your Affiliate account and commission rates may be changed at any time by Red Dane.

The commission is paid only on orders that can be tracked (by using a unique Affiliate link) and reported by Red Dane's Affiliate Program system powered by Secomapp. In order to properly track any referral order, the customer must have their cookies enabled on their web browser. Red Dane is not responsible for any lost revenue or incurred costs as a result of customers not having their cookies enabled at the time they make a purchase.

Refunded payments due to returns, fraud or any other reason do not qualify for commission fees. To the extent a customer receives a refund, no commission shall be paid to the Affiliate.

We will share promotion media such as banners, logo, product and lifestyle images etc to you through the Marketing Tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels/platforms.

The Affiliate is permitted to use links, any applicable discount codes, any related banners, or text advertisements provided through the Affiliate Program. Any promotion should include the offer, discount code (if applicable), link provided by Red Dane Affiliate Program and the offer expiration date (where applicable).

Affiliates must remove invalid codes and banners from their website, social media accounts or email offers once they become outdated or are no longer working.

Affiliate coupon codes and links are not to be promoted on third party websites such as coupon databases without permission.

Any sales that have been generated through improper promotion will result in loss of commission.

5. Copyrighted Material

The Affiliate is responsible for ensuring that product descriptions and images comply with all applicable copyright, trademark, data protection, any intellectual property rights or any other applicable law. Red Dane will not be responsible if an Affiliate uses another party's copyrighted material in violation of the law.

6. Network

If the Network tab is activated, an Affiliate can invite others to become their downline Affiliate. If any downline Affiliate brings an order to the merchant shop, the upline Affiliate will also get network commission, which depends on the merchant settings. To invite other affiliates into the system, share the network link and any other affiliate who clicks on that link and signs up will become a downline affiliate.

7. Cookie

We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.

If a visitor doesn't allow cookies or clears their cookies then we can't track their orders and so can't pay earnings to you on that visitor's activity.

Cookie Days is stipulated on the Affiliate registration form. The tracking day will start from the time a visitor clicks on the affiliate's link or uses the coupon. Within the cookie time, every order made by this customer on the merchant shop will automatically result in commissions to the affiliate (i.e. there is no need for the customer to click on the affiliate link again within the cookie time).

8. Brand Compliance

Capital letters are required on Red Dane at all times. The following are all accepted: Red Dane, Red Dane skincare, RED DANE, RED DANE Skincare.

Red Dane and its logo are registered trademarks, all visual logos used must include the registered trademark ® symbol.

Red Dane will only work with websites / social media pages that are neutral on political views or express views in line with Red Dane's values. Websites and or social media pages must be active/live during the application process and visually pleasing. Websites and or social media pages will be rejected from the Affiliate Program if they include the following characteristics:

9. Termination

The Term of the Agreement shall commence upon Red Dane's approval of the Red Dane Affiliate application and can be terminated by either party. Affiliation can be ended with or without cause at any time, by one party providing the other party notice of termination in the form of email. Upon termination of the Agreement, the Affiliate will remove all links to Red Dane's website, as well as any and all banners and/or graphic images provided to Affiliate in connection with the Red Dane Affiliate Program.

10. Red Dane's Obligations

Red Dane agrees to undertake the following obligations:

Provide the Affiliate with promotional materials, such as links, coupon codes, banners and any other graphic materials Red Dane in its own discretion believes necessary to properly promote its products.

Processing all orders for Red Dane products sold via the Affiliate's links.

Tracking sales generated via the Affiliate's links.

Providing timely processing of payments, cancellations, returns and other related customer service activities for Red Dane products sold via the Affiliate's link.

11. The License

Red Dane grants to the Affiliate a non-exclusive, non-transferable, revocable right to access the Red Dane sites through certain links provided to the Affiliate by Red Dane via Secomapp, in accordance with the Terms & Conditions of this Agreement and in connection with any promotional materials provided and authorized by Red Dane.

The Affiliate cannot modify or change any materials provided by Red Dane in any way.

Both parties agree not to use the other party's materials in any manner that could be construed or considered to be misleading, or disparaging or otherwise portrays the other party in a negative light.

Any inappropriate use of the promotional material may be cause for immediate termination of the Agreement.

12. Limitation of Liability

Red Dane will not be liable to the Affiliate under or with respect to this agreement under any theory in or of contract, negligence, tort, strict liability or other legal or equitable theory for any indirect, incidental, consequential, special or exemplary damages (including, without limitation, loss of revenue or goodwill or anticipated profits or lost business, defects in the service provided by Secomapp, access interruptions to the service, loss of data via the information handling system or viruses, loss of profits, or any loss caused by any third party by deleting, removing, deactivating or tampering with the Affiliate tracking service or any other consequential loss, whether arising from neglect, error or breach contract), even if we have been advised of the possibility of such damages. Further, notwithstanding anything to the contrary contained in this agreement, in no event shall our cumulative liability to you arising out of or related to this agreement, whether based in contract, negligence, strict liability, tort or other legal or equitable theory, exceed the total commission fees paid to you under this agreement.

13. Indemnification

You hereby agree to defend, indemnify and hold harmless Red Dane, and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgements, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") that directly or indirectly arise out of, relate to, or are based on, in whole or in part, any claim related to any of your site(s), your participation in the Program, and/or your breach of any obligation, representation, or warranty set forth in this Agreement.

14. Miscellaneous

You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Red Dane. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement that could be reasonably understood to contradict anything in this document.

You may not amend or waive any provision of this Agreement unless in writing and signed by both parties.

This Agreement represents the entire agreement between Red Dane and you, and shall supersede all prior agreements and communications of the parties, oral or written.

The headings and titles contained in this Agreement are included for convenience only, and shall not limit or otherwise affect the terms of this Agreement.

Affiliates may not use the Program for any illegal or unauthorized purposes.

Violation of these Terms & Conditions may result in suspension of your right to be an Affiliate and may result in lost commissions and/or removal from the Program.

15. Modification of Red Dane Affiliate Program Terms and Conditions

Red Dane reserves the right to modify or otherwise change the Terms & Conditions of the Agreement at any time. In the case of any modifications to the Terms & Conditions in this Agreement, the Affiliate will be notified by email. If the Affiliate refuses to accept any modification, the Affiliate's only option is to terminate the Agreement.
